Terms of Service

1. Service Description

Verak, Inc. ("Verak," "we," "us," or "our") provides seller authenticity infrastructure services for online marketplaces. Our services include:

• →Platform Abuse Exposure Assessment: Forensic analysis of your supply-side data with inauthentic account identification, coordinated cluster detection, and estimated financial exposure.
• →Verak API — Shadow: Real-time seller scoring at onboarding in observe-only mode, with weekly threat intelligence reports.
• →Verak API — Live: Real-time scoring and decisioning API that can automatically block inauthentic seller signups.

2. Acceptable Use

By using Verak services, you agree to:

• →Use our services only for legitimate fraud detection and prevention purposes within your own marketplace or platform.
• →Only upload data that you have the legal right to process and share for fraud detection purposes.
• →Not reverse-engineer, decompile, or attempt to extract the detection algorithms, models, or methodologies underlying our services.
• →Not use our services to discriminate against individuals based on protected characteristics.
• →Not resell, redistribute, or make our reports or API responses available to third parties without our written consent.
• →Not interfere with or disrupt our services, servers, or networks.

3. Data Ownership

Your data remains your data. You retain all ownership rights to the seller data you upload to Verak. By uploading data, you grant Verak a limited, non-exclusive license to process that data solely for the purpose of providing our fraud detection services to you.

• →Verak does not claim ownership of any customer data uploaded to our platform.
• →Verak retains ownership of its detection algorithms, methodologies, report formats, and proprietary analysis techniques.
• →Aggregated, anonymized insights derived from processing customer data may be used by Verak to improve its services. These insights will not contain any individually identifiable seller data.

4. Payment Terms

• →Platform Abuse Exposure Assessment: One-time engagement, pricing provided upon request.
• →Verak API — Shadow: Custom pricing, billed monthly. Cancel anytime with 30 days notice.
• →Verak API — Live: Custom pricing as agreed in a separate agreement.

5. Service Level and Availability

Verak strives to maintain high availability of its API services. Specific uptime guarantees and support response times are provided in the applicable service tier:

• →Platform Abuse Exposure Assessment: Best-effort delivery, targeted for 48-hour turnaround.
• →Verak API — Shadow: Standard support via email. Target 99.5% API uptime.
• →Verak API — Live: Priority SLA, dedicated support channels, and custom uptime guarantees as specified in your agreement.

6. Limitation of Liability

Verak's fraud detection services are provided as analytical tools to assist in identifying potentially fraudulent seller accounts. Our services are advisory in nature, and you are responsible for all final decisions regarding seller account actions.

• →Verak does not guarantee that all fraudulent sellers will be detected, or that all flagged sellers are definitively fraudulent.
• →To the maximum extent permitted by law, Verak's total liability for any claims arising from the use of our services shall not exceed the total fees paid by you to Verak in the 12 months preceding the claim.
• →Verak shall not be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, data loss, or business interruption.

7. Indemnification

You agree to indemnify, defend, and hold harmless Verak and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising from your use of our services, your violation of these Terms, or your violation of any rights of a third party.

8. Termination

• →By you: You may terminate your use of Verak services at any time. For subscription services, cancellation takes effect at the end of the current billing period with 30 days written notice.
• →By Verak: We may suspend or terminate your access to our services immediately if you violate these Terms, fail to pay amounts due, or if we reasonably believe your use poses a risk to our platform or other customers.
• →Effect of termination: Upon termination, your access to our services will cease. We will delete your uploaded data within 30 days of termination, unless otherwise required by law.

9. Intellectual Property

All intellectual property rights in Verak's services, including but not limited to detection algorithms, analysis methodologies, report templates, software, trademarks, and documentation, are and remain the exclusive property of Verak, Inc. Nothing in these Terms grants you any rights to our intellectual property except the limited license to use our services as described herein.

10. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or the use of our services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Delaware, and the decision of the arbitrator shall be final and binding.

11. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page with a revised "Last updated" date. For subscription customers, material changes will be communicated via email at least 30 days before they take effect. Continued use of our services after changes take effect constitutes acceptance of the modified Terms.
